Terms of service
These terms of service (“Terms”) apply to the platform of techtropy GmbH, Am Anger 1, 87672 Roßhaupten, Germany (“we”). The platform covers strategy development, market research, documents, collaboration in organizations and teams, support requests, AI features and the simulations (together the “Service”). The Terms apply to everyone who uses the Service, with or without an account. If you use the Service for a company, a university or another organization, you confirm that you may accept these Terms for it. If you do not agree, do not use the Service.
This unofficial English translation is for convenience only. The is legally binding.
Formation of contract and orders
The contract about your account is formed when you create the account and accept these Terms in doing so. You can review and correct your entries before sending them. We do not store the contract text separately. You can read these Terms here at any time. The contract languages are German and English. The account is free of charge. An organization orders products and seats separately, usually by accepting an offer by email. Price, term, payment, number of seats and renewal are stated in the order. On those points the order prevails over these Terms. Prices exclude VAT. We sell products to companies, universities and other organizations, not to consumers.
Use of the service
Use the Service only for lawful purposes and under these Terms. Do not break the law, infringe the rights of others, or submit unlawful or harmful content. Bring in other people's data only where you are allowed to. Do not disrupt or overload the Service. Do not probe or circumvent its security or access controls. Do not access accounts, organizations, simulations or data that are not yours, and do not introduce malicious software. Do not read the Service out automatically, for example by scraping or bulk collection, except through the export features we provide. Reselling the Service or offering it to third parties needs our prior written consent.
Account responsibilities
You can create an account if you are at least 16 years old. Give accurate information. Protect your email address and the sign-in codes we send to it from others, and do not share your account. You are responsible for everything that happens under your account. If you learn of unauthorized use, tell us at once. You can delete your account at any time in the account settings. How we handle personal data is described in the privacy notice.
Organizations and teams
Parts of the Service are collaborative. What you bring into an organization, team, strategy or simulation, such as documents, decisions, names and briefings, is seen by the other members of that space. It stays with them even after you leave the space. Owners and administrators of an organization manage its members and access. They are responsible for how their organization uses the Service, and we may follow their instructions about content and membership. The organization is the controller under the GDPR for its members' data in the Service. It provides the legal basis and informs its members about the processing. Where required, it involves the works council or staff council, in particular before it switches on per-person Attention in a simulation. The data processing agreement sets out the details. If you leave an organization or are removed, you lose access to its content.
Intellectual property
The Service itself belongs to techtropy or its licensors. That includes texts, graphics, logos, software, and the design, scenarios and computed results of the simulations. You may use the Service as intended for as long as you have access. This right is non-exclusive and non-transferable. Without our prior consent you may not copy, distribute or modify the Service, or use our trademarks or logos. Reports and data exports are for use within your organization, including coursework and your own analyses and models. We claim no rights in text a model drafts for you. You may use it within these Terms. Such text can be wrong and can be generated similarly for others. Check it before any use.
Content you submit, such as uploaded documents, strategy inputs, company names and messages, stays yours. You allow us to store, reproduce, adapt and display this content as far as we need to operate, secure and improve the Service. That includes showing it to the people you share it with, and having a model process it when you call an AI feature. This right is non-exclusive and worldwide, and it ends when the content is deleted from the Service. We do not train AI models with your content. You are responsible for your content. You confirm that you hold the necessary rights to it and that it does not violate any laws or third-party rights. We may remove or block content that violates these Terms or the law.
Data processing
Where we process personal data on behalf of an organization, the data processing agreement applies and forms part of these Terms. Whoever accepts these Terms for an organization accepts it for the organization. A countersigned copy is available on request.
Simulations
The simulations are educational tools. All scenarios, markets, companies, prices, forecasts and reports in a simulation are fictional and serve learning. Any resemblance to real companies, brands or market data is coincidental. The Service does not provide financial, investment, legal, tax or other professional advice. Simulation results are no basis for real business decisions. Results, standings and values in a simulation have no monetary value and establish no claims against us. Do not influence a simulation through technical means outside of regular play. We may adjust, reset or archive simulations and their parameters, for example to preserve the balance and orderly progress of a cohort.
AI features
Some features use a model to draft text, to grade a strategy or to comment on one. The AI transparency notice says which ones. That output is a draft for a person to check. It is not a decision and not advice. Do not use it to judge, rank or decide anything about a person. Do not use it as an assessment in education or vocational training. In the simulation a model comments only on a company's strategy, and only when its executive asks. It grades nothing, reports nothing to the instructor and does not affect the course of play. The instructor must not use these comments to assess players.
Availability and warranty
We provide the Service with the care of a diligent provider. We promise no particular availability unless an order provides for one. Where possible, we announce maintenance in the Service. Statutory warranty law applies to defects. Toward businesses, we are not liable without fault for defects that already existed when the contract was concluded (Section 536a (1) BGB). Simulated data, forecasts, reports and a model's output are learning and working material. They are no promise about real outcomes. We do not vouch for other users' content.
Changes to the service
The Service keeps developing. We may add, change or remove features, introduce usage limits, and interrupt the Service temporarily, for example for maintenance. If a change strongly restricts core functions you actively use, we inform you appropriately and, where possible, in advance. We do not have to keep content indefinitely. When a feature or your access ends, we may delete related content after a reasonable period.
Termination
You may end free use at any time and delete your account in the account settings. We may terminate free use with 30 days' notice. For ordered products, the term and termination in the order apply. For good cause we may suspend or terminate access at once. Good cause is, for example, a serious or repeated violation of these Terms, a legal duty, or a risk to the security of the Service. When use ends, your right to use the Service ends. An organization can request its data until 30 days after the end. After that we delete it as the data processing agreement provides. Provisions meant to outlast the end, such as those on intellectual property, liability and governing law, continue to apply.
Limitation of liability
We are liable without limit for intent and gross negligence, for injury to life, body or health, for guarantees we have given, and under mandatory laws such as product liability law. For slight negligence we are liable only if we breach an essential contractual obligation. An obligation is essential if the contract cannot be performed without it and you may regularly rely on its fulfillment. In that case we are liable only for the damage that is foreseeable and typical for services of this kind. We are not liable beyond that. These limits also apply to our employees and agents.
Governing law
The law of the Federal Republic of Germany applies. If you are a consumer, you keep the protection of the mandatory rules of the country where you usually live. If you are a merchant, a legal entity under public law or a special fund under public law, our seat in Germany is the exclusive place of jurisdiction for all disputes under these Terms.
Language
These Terms apply in German. The English version is a non-binding translation for convenience. Where the two differ, the German version applies.
Severability
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the applicable statutory rules.
Changes to terms
We may change these Terms when laws or case law change, when the security of the Service requires it, or when we introduce or change features. In doing so we do not shift the balance of performance and price to your disadvantage. We offer a change to you at least 30 days before it takes effect, by email and in the Service. If you do not object by then, the change counts as accepted. We point this out specifically in the offer. If you object, either side may terminate the contract as of the date the change takes effect. All other changes need your express consent.
